Certitude Financial Services Guide

This Financial Services Guide (FSG) is an important document that we are required to give you under the requirements of our Australian Financial Services (AFS) Licence. This FSG is issued by Certitude Global Investments Limited (‘Certitude’, ‘we’ or ‘us’) and provides you with information to help you decide whether to use the financial products and services we offer.

It contains information about:

  • Documents you may receive from us;
  • The financial products and services we provide;
  • How we (and other related parties) are remunerated for those financial products and services;
  • Our Privacy Policy; and
  • How complaints are dealt with.

This FSG is also an introduction to Certitude, describing who we are and what products and services we can offer you.

Where required by law you will receive a Product Disclosure Statement (PDS) containing information on the financial product to be issued. You will receive a PDS before we issue you with a financial product or offer to issue you with a financial product.

We do not provide personal advice to retail clients and therefore we are not required to issue a Statement of Advice (SOA). However, you may receive a SOA, issued by a financial adviser, if you receive personal advice from a financial adviser in relation to our financial products.

To invest in any of our financial products you must complete the application form attached to the relevant PDS or disclosure document. The PDS or disclosure document contains information about the particular financial product. It includes general information about:

  • The terms and conditions of the product;
  • Any significant risks associated with holding the product;
  • Information about the cost of the product; and
  • Details of fees and charges we receive for issuing the product.

The information in the PDS or disclosure document will assist you in making an informed decision about the product.

A PDS, for each product offered by Certitude, is available through our web site or from your financial adviser or broker. Please review the PDS or disclosure document carefully before making any decision to invest.

Who are we?

Certitude is a wholly owned subsidiary of HFA Holdings Limited ACN 101 585 737 which is listed on the Australian Stock Exchange. Certitude holds an AFS Licence (number 246747) and has offices in Sydney and Brisbane, with staff located around Australia.

Certitude is the responsible entity of funds operating under the ‘HFA’ and ‘Certitude’ brands (‘the Funds’).

Through Lighthouse Investments Partners LLC (‘LHP’), a subsidiary of HFA Holdings Limited and the investment adviser of Certitude’s international funds, the Funds have access to specialist investment and financial market analysts located in New York, Chicago, Florida, London and Hong Kong.

We do not act as a representative of any other AFS licensee in relation to the financial services and products we provide you.

What Financial Services and Products do we offer?

Our AFS Licence authorises us to provide financial services, which include:

  • Financial product advice about interests in managed investment schemes, securities and derivatives;
  • Dealing services including issuing, applying for, acquiring, varying or disposing of the following kinds of financial products: managed investment schemes, foreign exchange contracts, securities and derivatives;
  • Dealing services including applying for; acquiring, varying or disposing of a financial product on behalf of another person (including managed investment schemes, foreign exchange contracts, securities and derivatives);
  • Dealing services including underwriting managed investment schemes and issues of securities;
  • Acting as a responsible entity to operate registered managed investment schemes which invest in financial assets; and
  • Acting as a reponsible entity to operate a named scheme which holds only derivatives and financial assets.

We offer a range of registered alternative investments and absolute return funds. We can help you apply for these products, and provide you with general information in relation to them. Our staff can only provide you with factual information and in some circumstances may provide general financial product advice. Our staff do not take your personal circumstances into consideration when providing general product advice. If you require personal financial product advice that takes into account your objectives, financial situation and needs, you will need to contact a financial adviser.

How are we remunerated for the services we provide?

If you have invested in the Funds we offer, Certitude will receive fees in relation to your investment in that financial product. These fees may include management fees, administration fees and performance fees.

Management fees and administration fees are generally calculated as a percentage of the value of the Fund’s assets and typically are payable monthly in arrears for the life of the Fund. Performance fees are often calculated as a percentage of the amount by which a Fund’s performance exceeds a specified benchmark and, where payable, are typically paid six monthly or annually in arrears for the life of that Fund.

For our structured products where a loan is provided by a specified loan provider, we may receive an origination fee from the loan provider.

The fees we may receive vary across our products, and details of fees are set out in the PDS or disclosure document for the particular product.

You may request particulars of the remuneration or other benefits, however you must request the particulars within a reasonable time after being given the FSG and before any financial service identified in the FSG is provided.

What commissions, fees or other benefits are received?

All our employees receive salaries. In addition, performance bonuses and other non-financial benefits may also be provided. The payment of performance bonuses are discretionary and will depend on the achievement of pre-determined business objectives and key performance indicators (which may include volume of funds under management or other sales volume objectives). It is not possible to determine in advance whether staff members will receive additional remuneration or how this remuneration may be calculated.

You may receive advice in relation to the financial products we offer from financial advisers that are not employed by Certitude. These financial advisors may receive remuneration from us in the form of fees. These fees typically comprise initial advice fees and/or ongoing advice fees.

Financial adviser’s remuneration and fees are generally included in the fees you pay when investing in our products and are disclosed by the financial adviser in the SOA.

Initial advice fees are calculated as a percentage of the amount you invest and are payable at the time you acquire the product and are deducted from your application money.

Ongoing advice fees are calculated as a percentage of your investment balance and are usually payable annually in arrears for as long as you hold the product. Depending on which Certitude product you invest in, the ongoing advice fees may be paid by Certitude out of its management fees, or may be deducted from any distribution payments you receive from the Certitude product. Where the ongoing advice fees are deducted from your distribution, you and your financial adviser agree the ongoing advice fees percentage at the time you acquire the product.

You may request particulars of the adviser remuneration, however you must request the particulars within a reasonable time after being given the FSG and before any financial service identified in the FSG is provided.

The PDSs issued in respect of each Fund provide further detail on the remuneration and fees of financial advisers, relevant third parties, and the fees and charges of the Fund. Your adviser is also required to set out the remuneration and fees they receive in the SOA which they must give to you.

How is my personal information dealt with?

Protecting the personal information of our clients and investors is important to Certitude. Certitude aims to comply with the National Privacy Principles. A copy of our privacy policy is available on request. Alternatively, investors can view our policy at www.certitudeglobal.com.au. This policy will be updated on our website.

We endeavour to keep your personal details up to date, accurate and complete. To the extent we are required to do so under the Privacy Act 1988, we will provide you with access to your personal information. Your financial adviser will also be permitted access to your personal information. It is important you inform us if your personal information or financial adviser changes.

Certitude aims to keep investors regularly informed about our products and Funds’ performance. ARE WE ADEQUATELY INSURED?

Certitude holds professional indemnity insurance satisfying the requirements under the Corporations Act for compensation arrangements. This insurance covers the actions of our staff and representatives dealing with you even where those people subsequently leave the company’s employment.

What should I do if I have a concern or complaint?

Certitude aims to provide our investors with the highest possible level of service, however we recognise that sometimes things may go wrong. You have the right to make an enquiry or express a concern or complaint about our financial services to the extent that it relates to you or your investment. Certitude has an internal complaints handling procedure in place to ensure that all enquiries, concerns and complaints are properly considered and resolved quickly, fairly and inexpensively. If you have an enquiry or concern then please contact us on any of the contact details provided in this FSG.

Please provide us with sufficient information to assess the grounds of any concern or complaint that you may have.
We will investigate these grounds and aim to provide you with our response within 45 working days.
Certitude is also a member of the Financial Ombudsman Service (FOS). If you are not satisfied with our response to your complaint, you may raise the matter with FOS who will provide you with an independent assessment based on the merits of your complaint.

FOS will make an assessment of a complaint after we have addressed it internally. Please do not contact FOS until after we have provided you with a response to your complaint.
